1. Introduction

Welcome to Xenspire Group, Inc. (“Xenspire,” “TrustLay AI,” “we,” “our,” or “us”), a Delaware C-Corporation headquartered in Marlborough, Massachusetts, USA.
These Terms of Use (“Terms”) govern your access to and use of our website, platform, and products — including TrustLay GPT — whether as a visitor, consumer, or business partner.

By accessing or using TrustLay AI’s website or services, you agree to be bound by these Terms.
If you do not agree, please do not use our services.

2. About TrustLay AI

TrustLay AI develops infrastructure for Responsible and Transparent AI, enabling users and organizations to use AI safely and confidently.
Our first product, TrustLay GPT, verifies AI outputs for accuracy, bias, and context through its Trust Card™ framework.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use TrustLay AI’s services.
By using our platform, you confirm that you meet this requirement and have the authority to agree to these Terms.

4. Accounts and Access

To access certain features, you may need to create an account.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

You agree to notify us immediately of any unauthorized access or use.

We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.

5. Pre-Launch Programs and Founding Memberships

By purchasing a Founding Member Pass (Consumer) or Founding Customer Package(Business), you acknowledge that you are joining a pre-launch initiative.

Features, timelines, and product specifications may evolve as part of development.

Prepaid credits and early-access benefits are fully applied toward TrustLay GPT usage and associated Trust Fees.
All sales are final, except as described in our Refund Policy.

6. Use of Services

You agree to use our services only for lawful, responsible, and ethical purposes.
You must not:

  • Reverse-engineer, copy, or distribute any part of the platform

  • Use TrustLay AI for unlawful, discriminatory, or harmful purposes

  • Interfere with the integrity, security, or performance of our systems

  • Attempt to access or modify data without authorization

7. Intellectual Property

All content, features, and technology on the TrustLay AI platform — including logos, product names, software, and documentation — are owned by or licensed to Xenspire Group, Inc.

You are granted a limited, non-exclusive, non-transferable license to use the platform for your personal or authorized business use.
No ownership rights are transferred.

8. Payment and Fees

If you purchase a product or service, you agree to pay all fees specified at checkout.
Payments are processed securely through Stripe or other approved processors.

  • Consumer Founding Member Pass: One-time $25 payment for early access and membership.

  • Business Founding Customer Package: $4,500 prepaid credit for pilot participation and implementation.

The Trust Fee (standard 15%) applies to verified AI usage unless discounted under pilot agreements.

All fees are exclusive of applicable taxes.

9. Refunds and Cancellations

All payments are final and non-refundable unless:

  • The service fails to launch within 90 days of the expected release window, or

  • A refund is approved under the circumstances defined in our Refund Policy.

10. Data Privacy

We handle your data in accordance with our Privacy Policy, which forms part of these Terms.
By using our services, you consent to our collection and processing of information as described in that policy.

11. Disclaimers

TrustLay AI is provided “as is” and “as available.”
While we strive for accuracy and transparency, we cannot guarantee the correctness of all AI-generated or third-party information.

We disclaim all warranties — express or implied — including fitness for a particular purpose, non-infringement, and uninterrupted access.

12. Limitation of Liability

To the fullest extent permitted by law, TrustLay AI and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, data, or goodwill — arising from your use of our services.

Our total liability shall not exceed the amount you paid for the service during the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless TrustLay AI, its officers, employees, and affiliates from any claims, damages, or liabilities arising from your misuse of the platform or violation of these Terms.

14. Modifications

We may update these Terms periodically.
Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of TrustLay AI’s services shall first be addressed through good-faith negotiation between the parties.
If a resolution cannot be reached, the matter shall be submitted to confidential binding arbitration in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association (AAA).

Each party agrees to bear its own costs and fees unless otherwise determined by the arbitrator, and the arbitrator’s decision shall be final and binding.
